Terms and Conditions of Use - DxIndo

1. Introduction

Welcome to DxIndo (hereinafter referred to as "We," "Us," or "DxIndo"). By accessing or using our website (dxindo.com or related subdomains), contacting us for a consultation, or using our web application development, mobile (Android & iOS), custom systems, hosting, domain, maintenance, or other digital services (hereinafter referred to as "Services"), you (hereinafter referred to as "User," "You," or "Client") agree to be bound by these Terms and Conditions of Use ("Terms").

If you do not agree to these Terms, please do not use our website or Services.

2. Service Description

DxIndo provides custom software development services, including but not limited to:

• Web application and web-based information system development
• Mobile application development (Android & iOS – native or hybrid)
• Custom business management systems (CRM, POS, lightweight ERP, HRIS, accounting, etc.)
• Hosting, domain registration, maintenance, and technical support services
• Digital UI/UX consulting and design

All services are customized according to the client's brief and needs. There are no "ready-to-use packages" unless explicitly stated.

3. Permitted and Prohibited Uses

You agree to:

• Provide accurate, complete, and up-to-date information when communicating or ordering Services
• Not use the Services for illegal purposes or in violation of Indonesian laws (UU ITE, pornography, gambling, fraud, SARA, etc.)
• Not reverse engineer, decompile, or attempt to access DxIndo's source code without written permission
• Not send spam, malware, or malicious content through communications with us

DxIndo reserves the right to reject or cancel projects that violate the law or ethics.

4. Intellectual Property Rights

All code, designs, assets, and artwork created by DxIndo during the project remain the property of DxIndo until full payment is received. Upon payment, a non-exclusive license is granted to the Client for internal business use, unless otherwise agreed in a written agreement.

The Client guarantees that all provided materials (logos, content, images, etc.) do not infringe the copyrights of third parties. The Client is fully responsible for any content uploaded or used in the project.

5. Payment and Project Schedule

Payments are made according to the agreement in the proposal/invoice/MOU:

• Minimum down payment of 30–60% at the start of the project (non-refundable after the initial phase begins)
• Payment due before final handover or according to milestones
• Additional fees apply for revisions outside the initial scope or significant changes.

Late payments may delay the project schedule or incur fines as agreed.

6. Warranty and Maintenance

We provide a free bug fixing guarantee for 3–6 months after the final handover (depending on the package). The warranty does not cover changes to features, new content, or damage due to user/Client error.

Monthly/annual maintenance is available as a separate paid service.

7. Cancellation and Refunds

Cancellation of a project by the Client after the design/development phase has begun will not result in a refund of the down payment. Cancellation fees are calculated based on the progress of the work completed.

DxIndo reserves the right to cancel a project if the Client violates these Terms or fails to pay the invoice.

8. Limitation of Liability

DxIndo is not responsible for any indirect, consequential, lost data, lost profits, or damages resulting from the use of the Services. Our maximum liability does not exceed the contract value of the relevant project.

9. Applicable Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Any disputes will be resolved through deliberation. If no agreement is reached, they will be resolved through the Surabaya District Court.

10. Changes to Terms

We reserve the right to change these Terms at any time. Changes will be posted on this page with the latest update date. Continued use after changes are made means you agree to the latest version.
